True North Global LLC (“Company,” “we,” “us,” or “our”) is a business automation, marketing, systems, education, and experiential services provider organized as a New Mexico Limited Liability Company.

1. ACCEPTANCE OF TERMS

By visiting https://www.true-north-global.com, purchasing or enrolling in services, courses, programs, retreats, submitting forms, creating an account, or otherwise interacting with our websites, dashboards, systems, communications, or events (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

These Terms constitute a legally binding agreement between you and True North Global LLC.
If you do not agree, you must discontinue use of the Services immediately.

2. DEFINITIONS & ACKNOWLEDGMENT

Refers to all offerings provided by the Company, including but not limited to:

Websites and digital platforms

Business automation and systems

Messaging and communications workflows

CRM and dashboard access (where applicable)

Consulting, coaching, and advisory services

Digital courses, programs, and educational materials

Live or in-person retreats, workshops, and events

Templates, workflows, systems, and proprietary materials

You / User
Refers to the individual or legal entity accessing or using the Services.

By using the Services, you represent that:

You are at least eighteen (18) years old

You are legally capable of entering binding contracts

You are not located in a jurisdiction subject to U.S. sanctions or embargo

Your use of the Services is conditioned on acceptance of these Terms and our Privacy Policy.

3. DESCRIPTION OF SERVICES

True North Global provides business infrastructure, automation, education, and experiential services, including but not limited to:

Lead follow-up and reactivation systems

Messaging and communications workflows (SMS, voice, email, where applicable)

Appointment scheduling systems

CRM and dashboard access (for applicable clients)

Consulting, coaching, and implementation services

Digital courses, programs, and educational content

Live and in-person retreats, workshops, and experiential events

Subscription access to proprietary templates, workflows, systems, and configurations

Services may involve a combination of digital tools, third-party platforms, and human facilitation.

4. SMS & MOBILE MESSAGING POLICY (A2P COMPLIANCE)

By providing your phone number, you provide express written consent to receive recurring automated informational and marketing text messages and voice calls from True North Global LLC.

Consent Is Not a Condition of Purchase
You are not required to opt in to SMS or voice messaging to purchase any product or service.

Message Frequency & Rates
Message frequency varies. Standard message and data rates may apply.

No Sharing of SMS Data
Opt-in data and consent are not shared with third parties or affiliates for marketing purposes and are used solely for service delivery via authorized messaging providers.

5. PERFORMANCE, EDUCATION & RESULTS DISCLAIMER

No Guarantees
The Company makes no guarantees regarding income, business growth, results, outcomes, or transformations.

Educational content, courses, coaching, consulting, and retreats are provided for informational and educational purposes only. Individual results vary based on factors beyond our control, including personal effort, implementation, market conditions, and external circumstances.

Nothing provided constitutes legal, medical, financial, or professional advice.

6. COURSES, PROGRAMS & RETREATS — ADDITIONAL TERMS

Digital Courses & Programs

Access is granted for the duration specified at purchase

Course materials are non-transferable and for personal or internal business use only

Unauthorized sharing or reproduction is prohibited

Retreats, Workshops & Live Events

Retreat dates, locations, and schedules are subject to change

Travel, accommodations, visas, insurance, and personal safety are the sole responsibility of the participant

Participation is voluntary and at your own risk

The Company is not responsible for personal injury, loss, theft, or force majeure disruptions

Refunds, transfers, or credits for retreats and live events are governed by the specific event policy disclosed at the time of purchase.

7. INTELLECTUAL PROPERTY & PERMITTED USE

All content, courses, materials, systems, templates, workflows, configurations, dashboards, and recordings are the exclusive intellectual property of True North Global LLC. All rights are reserved.

Limited License
You are granted a limited, non-exclusive, non-transferable license for internal use only.

Restrictions
You may not copy, reproduce, resell, sublicense, redistribute, or reverse engineer any portion of the Services without written permission.

Feedback
Any feedback you provide becomes the property of the Company or is licensed for unrestricted use.

8. ORDERS, BILLING, REFUNDS & CHARGEBACKS

Digital services, courses, subscriptions, and setup fees are non-refundable unless expressly stated otherwise.

Retreat and event refund policies are disclosed separately.

Chargebacks without prior contact may result in immediate termination.

Payments are processed by third-party processors

Third-Party Financing
If financing options are offered via third parties, those providers maintain their own terms and policies.

9. USER RESPONSIBILITIES & COMPLIANCE

You agree to:

Provide accurate information

Obtain lawful consent before contacting leads

Comply with applicable laws (TCPA, CAN-SPAM, data privacy laws)

Refrain from illegal, abusive, or high-risk conduct

The Company does not provide legal advice.

10. THIRD-PARTY SERVICES DISCLAIMER

The Services may integrate or rely on third-party platforms, tools, or services.
The Company is not responsible for outages, changes, suspensions, or failures of third-party services beyond its control.

AI-ASSISTED & AUTOMATED SYSTEMS DISCLAIMER (LIMITED SCOPE)

Certain Services offered by the Company or its affiliated brands may utilize automated or AI-assisted tools, including but not limited to messaging systems, voice systems, scheduling tools, or workflow automation.

Such systems are provided as operational aids and do not replace human judgment, professional advice, or independent verification. Automated outputs may contain errors, delays, or inaccuracies.

The Company makes no guarantees regarding the accuracy, completeness, or performance of any automated or AI-assisted system. You acknowledge that reliance on such systems is at your own risk and that final responsibility for business decisions, communications, and compliance remains solely with you.

This clause applies only to Services that include automated or AI-assisted functionality, where applicable.

11. FORCE MAJEURE

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, pandemics, government actions, or interruptions of utilities or communications.

12. USER ACCOUNTS

You are responsible for maintaining account security and all activity under your credentials. Notify us immediately of unauthorized access.

13. “AS IS” DISCLAIMER

Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

No liability for indirect, incidental, punitive, or consequential damages.

Total aggregate liability shall not exceed the greater of:

Fees paid in the three (3) months preceding the claim, or $100 USD.

15. ASSIGNMENT

The Company may assign or transfer these Terms without restriction.
You may not assign your rights without written consent from the Company.

16. EXPORT CONTROL & SANCTIONS

You represent that you are not located in, under control of, or a resident of any country subject to U.S. embargo or sanctions and are not listed on any U.S. prohibited party list.

17. TERMINATION

We may suspend or terminate access for violation of these Terms. Upon termination, all rights to use the Services cease.

18. GOVERNING LAW, ARBITRATION & DISPUTE RESOLUTION

18.1 Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the matter informally by contacting the Company in writing, detailing your concerns.

18.2 Agreement to Arbitrate: If informal resolution fails after thirty (30) days, all disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable.

18.3 Remote Proceedings (Zoom/Video Conference): To accommodate the global nature of the Company’s operations and the User's location, both parties agree that any arbitration hearings, depositions, or meetings shall be conducted exclusively via video conference (e.g., Zoom, Microsoft Teams, or Google Meet). Neither party shall be required to appear in person unless a remote proceeding is deemed impossible by the arbitrator.

18.4 Venue & Governing Law: Subject to the remote participation clause above, the seat of arbitration shall be Albuquerque, New Mexico, and the proceedings shall be governed by the laws of the State of New Mexico.

18.5 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between the Company and You individually. To the full extent permitted by law, (i) no arbitration shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (iii) there is no right for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

18.6 Limitation on Time to File: ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

18.7 Attorney's Fees: In any legal suit, action, arbitration, or other proceeding arising out of or relating to these Terms or the Services, the prevailing party shall be entitled to recover, in addition to any other relief to which it may be entitled, its reasonable attorneys’ fees, costs, and expenses, including court costs and arbitration fees. In addition, the arbitrator or tribunal may award additional fees, costs, or sanctions if any claim, defense, or proceeding is determined to be frivolous, brought in bad faith, or pursued for an improper purpose.

18.8 Severability: If any provision is held unenforceable, it will be interpreted to accomplish its objectives to the greatest extent possible, and remaining provisions will stay in effect.
